Thisdocumentisanagreement(“Agreement”)betweenYou,theenduser,andEnterasysNetworks,Inc.(“Enterasys”)

thatsetsforthyourrightsandobligationswithrespecttothesoftwarecontainedinCD‐ROMorothermedia.BY

UTILIZINGTHEENCLOSEDPRODUCT,YOUAREAGREEINGTOBECOMEBOUNDBYTHETERMSOFTHIS



AGREEMENT,WHICHINCLUDESTHELICENSEANDTHELIMITATIONOFWARRANTYANDDISCLAIMER

OFLIABILITY.IFYOUDONOTAGREETOTHETERMSOFTHISAGREEMENT,RETURNTHEUNOPENED

PRODUCTTOENTERASYSORYOURDEALER,IFANY,WITHINTEN(10)DAYSFOLLOWINGTHEDATEOF

RECEIPTFORAFULLREFUND.

HAVEANYQUESTIONSABOUTTHISAGREEMENT,CONTACTENTERASYS NETWORKS, INC.(978)

EnterasyswillgrantYouanon‐transferable,nonexclusivelicensetousetheenclosedmachine‐readableformof

software(the“LicensedSoftware”)andtheaccompanyingdocumentation(theLicensedSoftw are,themedia

embodyingtheLicensedSoftware,andthedocumentation

arecollectivelyreferredtointhisAgreementasthe

“LicensedMaterials”)ononesinglecomputerifYouagreetothefollowingtermsandconditions:

1. TERM. ThisAgreementiseffectivefromthedateonwhichYouopenthepackagecontainingtheLicensed

Materials.YoumayterminatetheAgreementatanytimebydestroyingtheLicensedMaterials,togetherwithallcopies,

modificationsandmergedportionsinanyform.TheAgreementandyourlicensetousetheLicensedMaterialswillalso

terminateifYoufailtocomplywithanytermorconditionherein.

2. GRANTOFSOFTWARELICENSE. ThelicensegrantedtoYoubyEnterasyswhenYouopenthissealedpackage

authorizesYoutousetheLicensedSoftwareonanyone,singlecomputeronly,oranyreplacementforthatcomputer,

forinternaluseonly.Aseparatelicense,underaseparateSoftwareLicenseAgreement,isrequiredforanyother

computeronwhichYouoranotherindividualor

employeeintendtousetheLicensedSoftware.YOUMAYNOTUSE,

COPY,ORMODIFYTHELICENSEDMATERIALS,INWHOLEORINPART,EXCEPTASEXPRESSLYPROVIDED

INTHISAGREEMENT.

3. RESTRICTIONAGAINSTCOPYINGORMODIFYINGLICENSEDMATERIALS.Exceptasexpressly

permittedinthisAgreement,Youmaynotcopyorotherwisereproducethe

LicensedMaterials.Innoeventdoesthe

limitedcopyingorreproductionpermittedunderthisAgreementincludetherighttodecompile,disassemble,

electronicallytransfer,orreverseengineertheLicensedSoftware,ortotranslatetheLicensedSoftwareintoanother

computerlanguage.

ThemediaembodyingtheLicensedSoftwaremaybecopiedbyYou,inwholeorinpart,intoprintedormachine

readableform,insufficientnumbersonlyforbackuporarchivalpurposes,ortoreplaceawornordefectivecopy.

However,Youagreenottohavemorethantwo(2)copiesoftheLicensedSoftwareinwholeorinpart,includingthe

originalmedia,

inyourpossessionforsaidpurposeswithoutEnterasys’priorwrittenconsent,andinnoeventshall

YouoperatemorethanonecopyoftheLicensedSoftware.Youmaynotcopyorreproducethedocumentation.You

agreetomaintainappropriaterecordsofthelocationoftheoriginalmediaandallcopies

oftheLicensedSoftware,in

wholeorinpart,madebyYou.Youmaymodifythemachine‐readableformoftheLicensedSoftwarefor(1)yourown

internaluseor(2)tomergetheLicensedSoftwareintootherprogrammaterialtoformamodularworkforyourown

use,providedthat

suchworkremainsmodular,butonterminationofthisAgreement,Youarerequiredtocompletely

removetheLicensedSoftwarefromanysuchmodularwork.AnyportionoftheLicensedSoftwareincludedinany

suchmodularworkshallbeusedonlyonasinglecomputerforinternalpurposesandshallremainsubjecttoallthe

termsandconditionsofthisAgreement.
